Terms of Service

1. Eligibility

You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

2. The Site and the services

The Site provides information about Stellar Stream and the ventures we operate. Specific services may be offered by individual ventures (for example, Citatn) under separate engagement letters, statements of work, or service agreements that will control in the event of any conflict with these Terms.

3. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent, harmful, or infringing purpose;
• attempt to gain unauthorised access to any portion of the Site, accounts, systems, or networks connected to the Site;
• interfere with or disrupt the Site, including by introducing malware, scraping at unreasonable rates, or circumventing security features;
• reverse engineer, decompile, or attempt to extract source code, except as permitted by law;
• use automated systems, including bots or scrapers, to extract data without our prior written consent;
• misrepresent your identity or affiliation with any person or entity.

4. Intellectual property

The Site and its content, including text, graphics, logos, images, video, code, design, and the "Stellar Stream" name and marks, are owned by or licensed to Stellar Stream and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, publicly display, publicly perform, or create derivative works of any part of the Site without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your personal or internal business purposes.

5. Feedback

If you submit suggestions, ideas, or feedback about the Site or our services, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and exploit such feedback for any purpose, without obligation to you.

6. Third-party services

The Site may link to or interoperate with third-party websites, services, or resources. We do not control and are not responsible for the availability, content, or practices of those third parties. Your use of any third-party service is at your own risk and subject to that third party's terms.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT ANY INFORMATION ON THE SITE IS CURRENT, COMPLETE, OR ACCURATE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STELLAR STREAM, ITS AFFILIATES, OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED POUNDS STERLING (£100). NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR FRAUD.

9. Indemnification

You agree to defend, indemnify, and hold harmless Stellar Stream and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of another.

10. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

11. Changes to the Site or Terms

We may modify the Site or these Terms at any time. If we make material changes to these Terms, we will revise the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

12. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, except that we may seek injunctive or other equitable relief in any competent jurisdiction to protect our intellectual property or confidential information.

13. Miscellaneous

These Terms constitute the entire agreement between you and Stellar Stream regarding the Site and supersede all prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
